The management of the Company and the direction
of the work force is vested exclusively in the Company
subject to the terms of this Agreement.
All matters not specifically and expressly covered or treated by the
language of this Agreement may be administered for its duration by the Company
in accordance with such policy or procedure as the Company from time to time
may determine.
